This Software License Agreement governs the access to and use of the QUALITYWEB 360 platform, provided by GS Soluciones en Sistemas de Gestión, S.C. (hereinafter, “QUALITYWEB 360”), under a Software as a Service (SaaS) model.

This agreement sets forth the rights and obligations applicable to the customer regarding the use of the platform.

Please read this agreement carefully before using the service.

Acceptance of the Agreement

The use of the QUALITYWEB 360 platform, as well as the explicit acceptance by selecting the corresponding checkbox or equivalent action within the system, constitutes full acceptance of the terms of this agreement.

If the customer does not agree with these terms, they must refrain from using the platform.

License

QUALITYWEB 360 grants the customer a limited, non-exclusive, non-transferable, and revocable license to access and use the platform during the term of the subscribed service.

The customer does not acquire any ownership rights over the software.

Restrictions

The customer shall not:

• reverse engineer, decompile, or attempt to obtain the source code
• copy, modify, reproduce, or distribute the software without authorization
• use the platform to develop competing solutions
• compromise the security, integrity, or availability of the system

Open Source Software

The platform may include open source software components subject to their respective licenses.

Such components are governed by the terms of their applicable licenses, which shall prevail with respect to those components.

QUALITYWEB 360 provides no additional warranties for open source software beyond those established in the applicable licenses.

Relation to other documents

The use of the platform is subject to the QUALITYWEB 360 Terms and Conditions, which comprehensively govern access to the service, fees, availability, service levels, limitation of liability, and other applicable commercial terms.

The processing of personal data is governed by the QUALITYWEB 360 Notice of Privacy.

This agreement forms part of the contractual framework applicable to the service.

In the event of any conflict between this agreement and the Terms and Conditions, the latter shall prevail.

Governing Law

This agreement shall be governed by and construed in accordance with the laws of the United Mexican States.

Governing Language

This agreement may be translated into other languages for convenience purposes. In the event of any discrepancy, conflict, or interpretation between versions, the Spanish version shall prevail.
