These Terms and Conditions govern the access, use, and subscription to the QUALITYWEB 360 platform, which is provided under a Software as a Service (SaaS) model.

By subscribing to or using the platform, the customer agrees to these Terms and Conditions, as well as any applicable supplementary policies.

QUALITYWEB 360 provides a technological tool designed to support the management of quality systems. The use of the platform is the responsibility of the customer, who agrees to use it in accordance with applicable laws and best practices.

The customer represents that they have the legal capacity required to contract and use the service and to be bound by these Terms and Conditions.

QUALITYWEB 360 may update these Terms and Conditions in accordance with the provisions set forth in the modifications section.

This document governs the terms and conditions under which GS Soluciones en Sistemas de Gestión, S.C. (hereinafter “QUALITYWEB 360”) provides the customer with access to a technological platform offered under a Software as a Service (SaaS) model, designed to support quality management processes through digital tools accessible online.

QUALITYWEB 360 is a company incorporated under the laws of the United Mexican States, with its registered address in Zapopan, Jalisco, Mexico.

This document regulates the access, use, and subscription to the service by the customer.

In order to use the services of QUALITYWEB 360, the customer must create an account within the platform and provide the necessary information for identification and operation purposes.

The customer agrees to provide accurate, complete, and up-to-date information and to keep such information current throughout the contractual relationship.

The customer shall be responsible for the use of the account, including all activities carried out by its authorized users, as well as for maintaining the confidentiality of access credentials.

The customer agrees to use the platform in accordance with applicable laws, these Terms and Conditions, and best practices for the use of the service, refraining from any activity that may affect the security, integrity, or availability of the system.

QUALITYWEB 360 reserves the right to modify or update these Terms and Conditions when necessary to improve the service, comply with legal requirements, or update platform functionalities.

In the event of material changes, QUALITYWEB 360 will notify registered users via email or through notices within the platform.

Such modifications will take effect upon publication or on the date specified in the corresponding notification.

Continued use of the service after such date shall constitute acceptance of the updated terms.

It is forbidden for the user to use the information contained in www.qualityweb360.com, and that this may in some way harm the brand QUALITYWEB 360 and its legitimate owners and licensees or public, private institutions, companies or negotiations with the that this has concluded contract.

Acceptance of payment is an obligation that the user has to be able to make use of the application and have access to the services provided in it.

QUALITYWEB 360 undertakes to issue the corresponding fiscal receipt (invoice) as proof of the operation and both the company and the user of the application, are required to pay the taxes that correspond in each case.

The use of the service and questions or questions are exclusively personal, can not be resold or charged to others for their use or access or act in any way inconsistent with the conditions. It is prohibited to duplicate, transfer, give access, copy or distribute any response and information granted by QUALITYWEB 360, as well as the application of QUALITYWEB 360 without the written authorization of the same.

The user can not extract the contents of the service, unless specific permission is granted for it. QUALITYWEB 360 may investigate any activity that it reasonably believes may constitute misuse of the platform, a breach of these Terms and Conditions, or a risk to the security, integrity, or availability of the system.

If reasonable indications of non-compliance are detected, QUALITYWEB 360 may temporarily suspend access to the service while the corresponding review is carried out.

If misuse, breach, or illegal activity is confirmed, QUALITYWEB 360 may suspend or permanently terminate access to the platform.

These measures are intended to protect system security, user information, and service continuity.

Qualora venga confermata la violazione, l’uso improprio o un’attività illegale, QUALITYWEB 360 potrà sospendere o revocare definitivamente l’account dell’utente e intraprendere le azioni legali opportune.

QUALITYWEB 360 provides a technological platform under a Software as a Service (SaaS) model that enables customers to manage their quality processes through digital tools.

The service consists of access to system functionalities, data storage, process management, and tools to support the customer’s operations.

QUALITYWEB 360 does not participate in the customer’s operational, administrative, or strategic decisions, nor does it guarantee specific results derived from the use of the platform.

Service Availability

QUALITYWEB 360 will use reasonable efforts to maintain the availability, stability, and proper functioning of the platform. However, the service may be temporarily affected by maintenance activities, updates, technical failures, internet connectivity issues, third-party services, or factors beyond QUALITYWEB 360’s reasonable control.

QUALITYWEB 360 will attempt to schedule maintenance activities at times that minimize user impact.

Service Level (SLA)

QUALITYWEB 360 aims to maintain a monthly service availability of 99.0%, excluding scheduled maintenance, third-party provider failures, user connectivity issues, and force majeure events.

This service level represents an operational target and does not constitute a guarantee of continuous and uninterrupted service.

Information Security

QUALITYWEB 360 implements reasonable administrative, technical, and physical security measures to protect information stored on the platform against unauthorized access, loss, alteration, or improper disclosure.

Limitation of Liability

To the maximum extent permitted by applicable law, QUALITYWEB 360’s total liability arising from the use of the service shall not exceed the total amount paid by the customer during the 12 months preceding the event giving rise to the claim.

Exclusion of Indirect Damages

In no event shall QUALITYWEB 360 be liable for indirect, incidental, special, or consequential damages, including loss of revenue, loss of data, or business interruption.

Updates

QUALITYWEB 360 may implement updates, enhancements, or modifications to the platform in order to improve performance, security, stability, or functionality. Such updates may be deployed automatically without prior notice, except where prior communication is deemed appropriate.

The customer acknowledges that such updates may result in changes to features, interface, or system processes, without constituting a breach of the service.

Maintenance

QUALITYWEB 360 may perform scheduled or corrective maintenance that may result in temporary service interruptions. Where possible, reasonable prior notice will be provided if such maintenance is expected to affect service availability.

Technical Support

QUALITYWEB 360 will provide technical support through its designated channels in order to address issues related to the operation of the platform.

Support is limited to technical aspects of the platform’s functionality and does not include consulting services, advanced configuration, customizations, or bespoke development.

Any additional services beyond standard technical support must be contracted separately under applicable commercial terms.

The use of the QualityWeb 360 platform is subject to a fee, which may be contracted under monthly, annual, or multi-year payment plans, depending on the conditions agreed upon with the customer.

Payment for the service may be made by bank card through the payment platform integrated within the system, bank transfer, check, or other payment methods authorized by QUALITYWEB 360.

In the case of payments made by bank transfer or check, access to the service may be subject to validation and confirmation of the corresponding payment.

The service will remain active as long as the corresponding payment is completed.

QUALITYWEB 360 reserves the right to update or modify its service fees at any time for new subscriptions or future renewals.

For customers with active services, any changes in fees will apply only from the next renewal period of the corresponding service.

QUALITYWEB 360 will notify registered customers of any relevant changes to fees with reasonable prior notice before such changes take effect.

All procedures, functionalities, software, trademarks or distinctive signs, images, photographs, graphics, text files, audio, video, programs, databases, interfaces, networks, and any other content related to the services provided by QUALITYWEB 360, available on www.qualityweb360.com, its applications or related systems, as well as the QUALITYWEB 360 trademark and any other distinctive elements, are owned by QUALITYWEB 360 or their respective owners and are protected by applicable national and international intellectual property laws.

The availability of such content to the user does not imply any transfer of ownership or any rights of exploitation beyond the legitimate use of the service in accordance with these Terms and Conditions.

Access to and use of the platform does not grant any ownership rights over the software, and only a limited, non-exclusive, non-transferable license is granted under these Terms and Conditions.

Any modification, copying, reproduction, adaptation, translation, distribution, or exploitation of the software, content, structure, or design of the platform without prior written authorization from QUALITYWEB 360 or the corresponding rights holders is strictly prohibited.

Intellectual property rights of third parties, if any, made available through the platform remain the exclusive property of their respective owners.

Any breach of the foregoing may result in the corresponding legal actions under applicable law.

Software Exploitation Rights

GS Soluciones en Sistemas de Gestión, S.C. represents and warrants that it holds all necessary rights, authorizations, and permissions to exploit, commercialize, and license the QUALITYWEB 360 software under a Software as a Service (SaaS) model.

Accordingly, GS Soluciones en Sistemas de Gestión, S.C. is fully authorized to grant licenses for the use of the system to its customers under these Terms and Conditions.

Any matter related to the ownership or exploitation of the software shall be the sole responsibility of GS Soluciones en Sistemas de Gestión, S.C. and shall not affect the customer’s right to use the service during the term of the agreement.

Non-interference and indemnity

GS Soluciones en Sistemas de Gestión, S.C. agrees to indemnify and hold harmless the customer against any third-party claims related to intellectual property rights over the software that may affect the authorized use of the system.

Under no circumstances shall disputes regarding ownership or exploitation of the software affect the continuity of the service or the customer’s right to use it during the term of the agreement.

Ownership of Data.

All information, documents, records, or files uploaded or generated by the customer within the QualityWeb 360 platform shall remain the exclusive property of the customer. QUALITYWEB 360 does not acquire any ownership rights over such information.

QUALITYWEB 360 shall only process, store, and manage such information for the purpose of providing the contracted service.

Service Termination.

In the event of cancellation or termination of the service, the customer may request the export or retrieval of their information within a period of 90 calendar days following the termination of the service.

After such period, QUALITYWEB 360 may delete the information stored on its servers as part of its data security, data management, and regulatory compliance policies.

The information, documents, records, and content that the customer uploads, stores, or generates within the platform shall be considered confidential.

QUALITYWEB 360 agrees not to disclose such information to third parties and to use it solely for the provision of the service, in accordance with these Terms and Conditions, the Privacy Notice, and applicable policies.

This confidentiality obligation shall remain in effect during the term of the service and shall survive its termination.

This agreement shall be governed by and construed in accordance with the laws of the United Mexican States.

Any dispute arising from the interpretation, execution, or performance of this agreement shall be subject to the jurisdiction of the competent courts of the State of Jalisco, Mexico, and the parties expressly waive any other jurisdiction that may correspond to them by reason of their present or future domiciles.

The parties shall endeavor to resolve any dispute amicably before resorting to judicial proceedings.

This document may be translated into other languages for convenience purposes. In the event of any discrepancy, the Spanish version shall prevail.
